Terms and Conditions

These Terms and Conditions (“Terms”) govern the provision of services by Precision Tech Solutions (“PTS,” “we,” “us,” or “our”), located at 102 E. Walker Street Suite 102B, League City, TX 77573, to you (“Client,” “you,” or “your”). By engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By entering into an agreement with PTS, including but not limited to signing a contract, placing an order, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Services

PTS provides the following technology-related services in League City, Texas: Cybersecurity Solutions, Managed IT Services, Network Infrastructure, and Small Business Computer Repair Services, as outlined in the specific agreement or proposal provided to you (“Service Agreement”).

Scope: The scope of services will be defined in the Service Agreement. Any changes to the scope must be agreed upon in writing by both parties.
Performance: PTS will perform services in a professional manner, consistent with industry standards.
Client Cooperation: You agree to provide necessary access, information, and resources to enable PTS to perform the services effectively.

3. Intellectual Property

Ownership: Any intellectual property developed by PTS as part of the services, including software, configurations, or documentation, remains the property of PTS unless otherwise specified in the Service Agreement.

License: Upon full payment, PTS grants you a non-exclusive, non-transferable license to use deliverables for their intended purpose.
Client Materials: You grant PTS a non-exclusive license to use any materials you provide for the purpose of performing the services.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the agreement.

5. Data Protection and GDPR Compliance

PTS complies with applicable U.S. and Texas data protection laws. When providing services, PTS will take reasonable measures to protect personal data you provide.

6. Disclaimer and Limitation of Liability

Disclaimer: All services are provided “as is.” PTS disclaims all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.
Limitation of Liability: To the maximum extent permitted by law, PTS shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the services, including loss of data, profits, or business opportunities. PTS’s total liability shall not exceed the fees paid by you for the services giving rise to the claim.

7. Termination

By Either Party: Either party may terminate the agreement within days specified in the Service Agreement.
For Cause: Either party may terminate immediately if the other party breaches a material term and fails to cure the breach .
Effect of Termination: Upon termination, you shall pay for all services rendered up to the date of termination. Any prepaid fees for unperformed services will be refunded, subject to the Service Agreement.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Galveston County, Texas, and you consent to the exclusive jurisdiction of such courts.

9. Force Majeure

PTS shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, or governmental actions.

10. Amendments

PTS reserves the right to update these Terms at any time. The most current version will be available upon request or at our office. Continued use of our services after changes constitutes acceptance of the updated Terms.

11. Entire Agreement

These Terms, together with any Service Agreement, constitute the entire agreement between you and PTS and supersede all prior agreements or understandings, whether written or oral.
